9) DOLLAR DEAL $12/4 TO LOME, COTONOU, GHANA, AND ALL WEST AFRICAN COUNTRIES. ON THE SELLER'S ACCOUNT.

10) THE BUYER WILL SIGN AN AGREEMENT WITH SELLER WITH HIS PROOF OF FUND AND AUTHORITY FOR THE SELLER TO VERIFY THE FUND.

11) THE BUYER WILL PAY COMMISSIONS FOR ALL FACILITATORS AND AGENTS AS RECORDED IN THE SPA.

*FULL BANKING PROCEDURE FOR AGO 20KMT-200KMT CIF TO BUYER'S DESTINATION*

1) A Letter of Intent (LOI) on buyer’s company letterheads, stating the name and quantities of the product the company would like to purchase, delivery terms, destination port, product specifications, name of the representer of the company and any other detail related to the order.

2) We review LOI and we issue a Full Corporate Offer (FCO) for each product with all the details including price and procedure.

3) Buyer upon acceptance, buyer signs FCO and returns along with POF and ICPO.

4) A conference call is arranged between buyer company’s director and President & Chairman of Seller's Company.

5) KYC will be exchanged between both sides (when applicable).

6) Seller provides SPA / Commercial Invoice

7) Buyer reviews and sign SPA / Commercial Invoice.

8) Intermediary sign separate contract (IMFPA) with Seller's Company to secure their commissions.

Buyer issues an official ICPO

1)The seller issues the SPA/MOU,

2)Buyer Countersign the SPA/MOU and return with documents

3)After signing the SPA/MOU,
buyer provides us an RWA/SBLC BANK GUARANTEE OR BLOCK FUNDS of 3% of the total value of the product.

4) Seller send to the buyer listed proof

-the B/L
-The product passport
-the Certificate of origin, -the Cargo manifest,
And change the title to theirs. And the rerouting is done.

5) The Q&Q is done for confirmation of the quality prescribed in the original documents

6) And after landing at the final destination port, payment is made by MT103, following the final SGS report, or similar.

*Procedure for TTO 100kmt (Tanker Take Over) in Lagos Waters @ #700/2*

Step 1: Sales & Purchase Agreement

The seller issues the Sales & Purchase Agreement, which the buyer signs and returns with the ATB (Authority to board) format.

Step 2: Face-to-Face Meeting

Both parties meet at the seller's office in Lagos to finalize the agreement.

Step 3: Partial Proof of Product (POP) and Due Diligence

The seller issues partial POP to the buyer for due diligence.
Upon successful due diligence the buyer releases cash ( #15,000,000) to the seller for Matb and clearance at the seller.

Step 4: Matb and Clearance to board buyer's Inspection teams.

The seller issues MATB and clearance in favor of the buyer. The buyer's supercargo and inspector board the vessel in Lagos waters, and the inspector returns with a sample. After QnQ results are released, the buyer pays ( #200,000,000.00) for logistics costs to the seller's nominated account.

Step 5: Cargo Documents

The seller releases soft copies of cargo documents in the buyer's name, including clearance for full cargo payment.

Step 6: Payment and Verification

The buyer verifies cargo documents and makes payment minus the logistics amount. The buyer then re-charters the vessel.

Step 7: Original Documents

Hard copies of original cargo documents are sent to the buyer's bank via courier upon the buyer's instruction.

3. Upon confirmation of the pre- advice SBLC , Seller releases to Buyer the proof of product(POP) for verification and confirmation.
3. Upon confirmation and verification, buyer raises financial instrument of SBLC for the total cargo value of the product.
4. A performance bond of 2% is then issued by the seller to buyer.
5. Seller commence sailing to delivery at the buyer's port of discharge.
6. Buyer conduct Q n Q analysis on the product upon arrival at the POD.
7. Upon successful Q n Q analysis, buyer makes payment for the total cargo value via MT 103 and pay all agents and facilitators their commissions as stated in the SPA/IMFPA.
8. Transaction ends and a repeat of the procedure starts for the next delivery.
