COMPANY Vs BUSINESS NAME, ASSOCIATION Vs BUSINESS GROUP, TIN Vs COC EXPLAINED 🇵🇬 🔥 💪 👏
We at PNG SME DIRECTORY have registered over 500 entities with IPA over past few months and have assisted 4700 SMEs since 2008, Associations, Business Groups, etc, with Business Registration, IRC services and other Startup needs.
With our many years of experience, we would like to inform everyone some misunderstanding with the registration of Companies, Businesses, Associations and Business Groups as we deal with all of these.
ASSOCIATION Vs BUSINESS GROUP 🇵🇬
The main difference is that Associations are expected to be Non-profit and should work for a common course - the betterment of the society, specifically your locality and its people, the environment, development, etc.
They can receive funding from donor agencies, companies or government agencies but the funds are expected to be used for reasons intended for.
They can have bank accounts, executives, constitution, etc.
Whereas, Business Groups can generate profit and act as normal businesses but within the context of a group.
A Business Group can upgrade itself to a Company anytime.
Landowner Associations can have landowner companies or businesses and Business Groups. Even individual members of the Association or Business Groups can own businesses and be sub-contracted to the Association's companies or businesses as spin-offs.
COMPANY Vs BUSINESS 🇵🇬
Companies have Directors and Shareholders while Businesses have owners.
Some companies can be solely-owned and do not require a director nor a shareholder or even secretaries.
Likewise, businesses can be solely owned or co-owned.
You can convert (upgrade) a Business Name to a Company anytime (by cancelling the BN).
Under a Company, you can have several businesses either by using different Business Names or with the same name as the company but with specific types of business named in the Business Name. For example; TEEJAY LIMITED as a company owns the businesses; TEEJAY HIRE CARS, TEEJAY REAL ESTATE, etc.
Companies are expected to file Annual Returns (to IPA as evidences of their Tax Compliances to IRC) and Businesses are expected to pay Annual Renewal fees.
Non-compliance will result in IPA imposing either penalties or cancellation of entities.
If you are doing Business Renewal, you will have to pay the full renewal fees for the non-renewal years.
You can convert (upgrade) a Business Name to a Company anytime.
TIN Vs COC 🇵🇬
TIN (Taxpayers Identification Number) is obtained from IRC through TIN Application. A TIN Certificate is required to open a bank account for your business and is also used to pay taxes to IRC. It is a prerequisite to openning a bank account.
Solely owned entities must fill TIN2 and co-owned entities must fill BOTH TIN 1 and TIN 2.
COC (Certificate of Compliance) is issued by IRC upon successful filing of your taxes. It is issued after you're into business and NOT before you start a business.
Entities with a COC are mostly likely to be considered for project bidding such as bigger government contracts.
A summary of steps would look something like this; IPA > TIN > Bank Account > COC.
BANK ACCOUNTS 🇵🇬
The Bank Account account signatories will be the ones who should be worried about TIN, not all owners or directors.
