The creation of Kinstellar, in November 2008 from the Bratislava, Bucharest, Budapest and Prague offices of Linklaters, launched a new era in the legal world of Emerging Europe. With a rich heritage and an exceptional team of the finest legal minds, we also have the autonomy and focus we need to develop further. The first step in the implementation of these development plans came in 2010 with the

establishment of a presence in Belgrade and Istanbul, followed in 2013 by the opening of new offices in Almaty, Kazakhstan, in November 2014, in Sofia, Bulgaria, in March 2016 in Kyiv, Ukraine, in March 2018 in Tashkent, Uzbekistan, and in January 2022 in Zagreb, Croatia. Further expansion of the network, while maintaining the integrity of our commitment to excellence in the provision of legal services, is a high priority. 🎉 Let’s give children a chance.

🌟 We are a proud supporter of DEJME DĚTEM ŠANCI o.p.s. (LET'S GIVE CHILDREN A CHANCE), a non-profit organisation in the Czech Republic that provides comprehensive help for children and young people from children's homes, particularly in the final years of their stay, during the transition period, and at the beginning of their individual adult lives.

👉🏻 What caused it to happen?

We asked our colleagues in Prague to nominate a project or organisation for inclusion in our corporate support program. All colleagues were then invited to make their final vote for the project they would like to support.

👏What was the end result?

We chose DEJME DĚTEM ŠANCI o.p.s. for the third year in a row and contributed CZK 111,111 to the organisation.

📢 🇨🇿 Kinstellar’s Prague office has successfully advised Genesis Private Equity Fund III (GPEF III), from the established private equity group Genesis Capital, on the sale of SANBORN, a key supplier of precision components and specialised parts for the power generation, oil & gas and transportation industries to Oriens.

🌟 Sanborn manufactures and supplies critical components for the world’s leading manufacturers of generators and turbines, energy companies and transportation, mainly from special steel alloys. The company’s key clients include leading international industrial conglomerates such as GE, Siemens, Wabtec, Technip FMC, and OneSubsea. The company expects revenues in 2023 of over CZK 650 million.

💡 Kinstellar advised Genesis Capital on all aspects of the transaction, including preparation and negotiations of the transaction documents.

Antonia Mavrova, our firm-wide Head of Automotive & Industrials, presented the new framework that aims to ensure EU access to supply of critical , enabling Europe to meet its 2030 climate and digital objectives.

💡 The critical raw materials identified by the EU Critical Raw Materials Act are indiscernible in a wide set of necessary such as electric cars, batteries, solar panels, wind tribunes, aeroplanes and smartphones. The Act introduces the concept of Strategic Projects that are designed to attract investments into European critical raw materials and that will be given a priority status at national level to ensure rapid administrative treatment of the projects.

🌟 Interested undertakings could already start thinking about applying to the soon-to-be-established Critical Raw Material Board with a Strategic Project that would contribute to the security of supply of strategic raw materials in the Union.

📢 🇨🇿 Kinstellar has successfully advised S IMMO AG, a real estate company, on acquiring a portfolio in the Czech Republic from CPI Property Group. The property portfolio comprises 11 office and retail properties, as well as development land. The transaction's property value is EUR 481 million, with an annual rental income of approximately EUR 29 million.

💡 Kinstellar delivered a comprehensive range of legal services. This included conducting due diligence and offering regulatory advice that spanned multiple Central and Eastern European (CEE) countries. Kinstellar also provided transactional advice, with a specific focus on local law requirements arising in connection with the negotiation of the SPA and completion of the . 📢 🇨🇿 Kinstellar’s Prague office has successfully advised the Czech company Mineral Ventures Invest (MVI)—the sole domestic investment gold seller with its own gold mine—on a reverse involving the of the majority of shares in Irish mining and exploration company IMC Exploration Group, whose shares are listed on the prime market of London Stock Exchange.

💡 In this intricate deal, MVI—part of the private Czech holding group Holding Zlato—has become the majority owner of IMC. As consideration for the newly issued shares, IMC has acquired ownership interest in MVI through its Armenian subsidiary, which owns a mining license for a gold mine in Karaberd, Armenia.

🌟 We are delighted to have been able to support MVI in the further roll-out of its international strategy. The acquisition of majority interest in publicly listed IMC is a significant milestone demonstrating the company’s growth potential and objectives. The transaction was exceedingly complicated, entailed multi-jurisdictional coordination, and necessitated multi-disciplinary legal skills. Its successful conclusion underscores Kinstellar's expertise in navigating complex cross-border transactions and is—to our knowledge—the first successful RTO completed by a Czech company on the LSE's main market. We are honoured to have contributed to this success. The cooperation with the MVI team was outstanding, and we look forward to future collaborations.

📢 🇸🇰 Kinstellar has recently advised NOVA Real Estate on the sale of Trenčín Industrial Park—one of the largest production and centres in Slovakia—to BHM Group, an important investment group on the Czech market. The is one of the largest 🌟 real estate M&As in Slovakia in 2023.

💡 Kinstellar assisted NOVA Real Estate throughout the entire transaction process, including the negotiation process, transaction documentation, signing, closing, and post-closing activities. The buyer, BHM Group, was represented by Schoenherr.

📢 🇸🇰 Kinstellar team-building in the heart of Slovakia

🌟 Our Bratislava team set off to the beautiful countryside in the proximity of Banská Bystrica for a team-building weekend. We enjoyed being together, played various sports and board games, tasted local specialties and spent a lot of time outside. The highlight of the trip was the 14-km hike 🥾 through the beautiful forests, with a lunch break in the picturesque village of Špania Dolina.
