Thailand counts more virus cases, limits travel
Thailand reported 527 new coronavirus cases, most of them migrant workers who already were isolated, and the government said it was tightening movements of people around the country.
Thailand has been struggling with a sudden virus surge after months of hardly any cases of domestic transmission. Field hospitals were being set up in parts of five provinces with many cases.
Large parts of the country, including the capital Bangkok, are under various lockdown restrictions, and the government said it will additionally restrict travel between virus-hit provinces to goods, cargo and necessary travel, and set up checkpoints on some roads.
Of the new cases confirmed Tuesday, 439 were migrants, 82 were local transmissions and six were in quarantined travelers, the Center of COVID-19 Situation Administration said. The total was a drop from the 745 registered Monday, the all-time high in Thailand, where the first case of the virus outside China was detected last January.
Most of the surge since last month has been in Samut Sakhon province, next to Bangkok, among migrant workers living in dormitories and employed in fish markets and factories. A field hospital next to the market is treating the infected migrants.
Although it has canceled public activities and gatherings and shut schools, bars and other places where people gather, the government has not yet taken measures as strict as those that it imposed in March — when it successfully stamped out local transmission.
Malls and department stores remain open with social distancing required, and indoor dining at restaurants is allowed until 9 p.m.
Prime Minister Prayuth Chan-ocha instead implored people to stay home.
“We don’t want to lock down the entire country because we know what the problems are, so can you all lock down yourselves?” he said. “This is up to everyone, if you don’t want to get infected just stay home for 14 to 15 days.”
The government also has been scrambling to acquire more vaccines after an initial period of complacency.
Prayuth said Monday that Thailand is seeking to secure 63 million doses, which wouldn’t cover half of its population of about 70 million. It so far has about 28 million doses on order for later in the year.

Thai Travel Industry Faces ‘Nail in Coffin’ After New Outbreak
As Phuket and other Thai tourist destinations prepare for a slight bump in business from the countdown to 2021, a new virus outbreak among seafood factory workers near Bangkok couldn’t come at a worse time.
Thailand discovered a record cluster of infections in Samut Sakhon province last week, prompting a 14-day lockdown of the industrial district. The government is mulling whether curbs need to be expanded to other locales.
Another nationwide lockdown or restrictions on domestic travel could be the “nail in the coffin” for many tourism-related companies, according to Phuket Hotel Association President Anthony Lark.
“Everyone’s losing money and just trying to break even,” Lark said by phone Monday. “If the government can’t control the virus, and any domestic air travel or inter-provincial travel restrictions are introduced, then you will absolutely see hotel, restaurant and boat owners mothball their businesses.”
Thai Prime Minister Prayuth Chan-Ocha said on Monday that he will take about a week to assess whether more stringent curbs are needed.
News of a widespread outbreak in a seafood market, which took Thailand’s total infections to 5,289 on Monday, came just a day after the government announced plans to ease some restrictions on tourists from 56 countries, including the U.S., Japan and Singapore.
Thailand is betting on a revival in tourism to help it exit a recession, though the central bank forecasts it may take two years for Southeast Asia’s second-largest economy to return to pre-pandemic growth levels. Foreign tourist arrivals generated more than $60 billion in revenue from about 40 million visitors in 2019.
While the international market has been virtually dormant for months, domestic travelers have kept many places afloat, including in Phuket, where businesses were counting on a bump during the year-end holidays.

Samut Sakhon, ThailandThailand on Sunday began testing tens of thousands of people for coronavirus and extended curbs on movement, a day after locking down a province following the country's worst outbreak yet.The outbreak began at a shrimp market in Samut Sakhon, a province southwest of Bangkok and a center of the seafood industry that is home to thousands of migrant workers.Four cases were reported there on Friday and that number had jumped to 689 by Sunday, the public health ministry said. Thailand had previously kept the epidemic in check, recording around 5,000 Covid-19 cases.Today is just the first stage," Kiattiphum Wongrajit, the ministry's permanent secretary, told a news conference. "Further results will show a lot more infections."He said up to 40,000 people would be tested in Samut Sakhon and nearby provinces, with over 10,000 tests to be conducted by Wednesday.Migrant workers, mostly from Myanmar, lined up for testing on Sunday, along with some Thais. Most cases identified so far have been asymptomatic, health officials said.Barbed wire surrounded the market on Sunday as authorities in Bangkok ordered all schools in three districts in the capital that have borders with Samut Sakhon, 45 kilometers (30 miles) away by road, to close until January 4.The province is due to stay under lockdown and nighttime curfew until January 3, and Kiattiphum said the ministry expected to bring the situation under control in two to four weeks.

Thailand will remain closed to the vast majority of foreign tourists until at least the second quarter of 2021.
Last week, Pipat Ratchakitprakan, Minister for Tourism and Sports told Thai media that Thailand’s borders are likely to remain closed to foreign tourists until March next year.
Currently only a relatively small number of foreigners are eligible to enter Thailand.
These include business people such as technical experts, high level workers and those in the medical field, foreigners who are married to or a parent of a Thai national, property owners, retiree visa holders, Elite Card holders and those who enter Thailand under the Special Tourist Visa scheme - all of which have to undergo mandatory 14 day quarantine.
Minister Pipat also added that talks with so called ‘low-risk’ countries regarding the creation of travel bubbles remain ongoing.
Countries including Singapore, Vietnam, South Korea, Australia, New Zealand and Taiwan had previously been mooted as possible travel bubble partners.
This week, the Thai-Chinese Chamber of Commerce urged the Thai government to set up a travel bubble with China.
Narongsak Phutthaphrommongkhon, chief of the Thai Chinese Chamber of Commerce, said a pilot scheme should be introduced that would allow Chinese tourists from Guangzhou to travel to Phuket. Once the scheme would be proved successful, Thailand could then establish further travel bubbles with as many as 19 other Chinese provinces.
The prospect of Thailand’s borders remaining closed to most foreigners until March will come as a further blow to Thailand’s beleaguered tourism industry which this week was told not to expect the pre-coronavirus pandemic level of 40 million visitors to return to Thailand until 2024.

Company Law Accounting and corporate income tax Consultant
The basic accounting principles practiced in the Europe and the United States are accepted in Thailand. The Institute of Certified Accountants and Auditors of Thailand is the authoritative group promoting the application of generally accepted accounting principles. Auditing standards conforming to international auditing standards are, to the greater extent, recognized and practiced by authorized auditors in Thailand. Any accounting method which is adopted by a company must be used consistently and may be changed only with approval of the Revenue Department.
Revenue Department Thailand: Corporate Income Tax (external)
Related: Corporate Income Tax in the Revenue Code (Thailand tax laws)
Audited financial statements of juristic entities (that is, a limited company, a registered partnership, a branch, or representative office, or a regional office of a foreign corporation, or a joint venture in Thailand) must be certified by an authorized auditor and submitted to the Revenue Department and (except for joint ventures) to the Commercial Registrar for each accounting year. At the end of fiscal year certified financial statement must be submitted to the Commercial Department.
Accounting transactions may be recorded in a foreign language, but there should be a Thai translation.
Corporate Income Tax
Thai corporation tax (or corporate income tax) refers to as the percentage of the profits of registered companies, i.e. tax levied on the profits made by companies or associations. A newly established company in Thailand is liable for income tax and must obtain a tax I.D. card and number for the company from the Thailand Revenue Department within 60 days of incorporation or the start of operations.
If it is expected that its gross income will exceed 1.8 million baht per annum it must register for Value Added Tax within 30 days of the date they reach 1,8 million baht in sales.
A newly established company in Thailand must hire a certified accountant. Companies must keep books and follow accounting procedures specified in the Civil and Commercial Code, the Revenue Code and the Accounts Act. Documents may be prepared in any language, provided that a Thai translation is attached. All accounting entries should be written in ink, typewritten, or printed. A newly-established company or partnership should close accounts within 12 months from the date of its registration. The director is responsible for the regular keeping of books and documents in accordance with the law and must file balance sheets and audited accounts every year with the Revenue Department and Ministry of Commerce.
In general, the basic accounting principles practiced in Europe and the United States are accepted in Thailand.
Tax rates
The general corporate tax rate in Thailand is 30% for companies with a paid up share capital of more than 5 Million Thai Baht. The government has reduced corporate tax rates to promote specific business sectors and small and medium enterprises. The tax rate for companies with a paid up share capital not more than 5 Million Thai Baht at the end of its tax year shall be taxed at rate of:
• 15% over the first one million Thai Baht profit;
• 25% over the profit between one million and three million and;
• 30% for profits over three million Thai Baht.
Other:
• Dividends distributed by a local company to its foreign shareholders are subject to a dividend withholding tax at 10%. This rate is not reduced under any of the double taxation treaties concluded by Thailand.
• The rate of depreciation for capital expenditures is 5% for buildings.
• Net losses may be carried forward over five consecutive years. No carry back of losses is allowed.
The director(s) is responsible for the existence and regular keeping of books and documents in accordance with the law and this has to be done even though there is no business activity. The commercial registration department has the authority and could be closing down all those companies that are not actively trading or paying tax.

Thai Permanent Residency Visa
A lot of people want to stay permanently in Thailand as it is one of the most sought-after destinations in South East Asia offering a low yet convenient standard of living.
There are a lot of inquiries from foreigners who are constantly on a trip to the Land of Smiles as to how they can apply for Thai Permanent Resident status.
Obtaining status as a Permanent Resident (PR) in Thailand has many advantages. It allows you to live permanently in Thailand, with no requirement to apply for an extension of stay. You can also have your name on a house registration document, and you will be able to buy a condominium without making a bank transfer from abroad. Getting a work permit is also made easier once you have PR status.
In addition to this, you can be eligible to become a director of a Thai public company, as well as eventually apply to become a naturalized Thai citizen. You will also be able to apply for an extension of stay and Permanent Resident status for your non-Thai family members.
All applications for Thai Permanent Residency are processed by the Royal Thai Immigration Commission. The annual quota for granting permanent residency in Thailand is a maximum of 100 persons per country. The application period for Thai PR usually from October to the end of December of every year.
In order to apply to become a Thai Permanent Resident, you must meet the following criteria:
• You must have had a Thai non-immigrant visa for at least three years prior to the submission of your application. Holders of multiple NON-Immigrant visas can not apply. You must have 3 consecutive yearly extensions in order to qualify.
• You must be a holder of a non-immigrant visa at the time of submitting your application.
• You must be able to meet one of these categories to apply for PR status in Thailand:
o Investment category (minimum 3 – 10 Mil. Baht investment in Thailand)
o Working/ Business category
o Support a family or Humanity Reasons category: In this category, you must have a relationship with a Thai citizen or an alien who already posses a residence permit as a husband or wife; father or mother; or a guardian of a Thai child under 20 years of age.
o Expert / academic category
o Other categories as determined by Thai Immigration
You should note that the list of required documents for the application depends on the category under which the application is made.
Once your application for Thai Permanent Residency is approved, a residence blue book is issued to you. You must then register your place of residence in Thailand at the local Amphur and obtain a house card. A week after the receipt of your residence certificate you can then apply for an alien book (red book) at the local police station, which is the equivalent of the Thai national ID card. You must re-register there every year.
The Residency Permit itself never expires unless revoked. To be able to leave the country and return to Thailand, however, requires you to apply for a re-entry permit (endorsement).
You can file an application to become a Thai naturalized citizen after holding Permanent Resident status in Thailand for 10 consecutive years.

There are ways to protect the foreign interest when setting up the company, and so you are best advised to consult with a law firm before set up to make sure you are proceeding in a way that gives you security, and provides the best structure going forward.
Key questions that can influence how you decide to setup your Thai company include the following:
• What are the main business activities of the company?
• Is there a foreign parent company with shareholding requirements?
• Does the Thai company need to sponsor visas and work permits for foreign personnel?
• Are there going to be Thai staff working full-time and registered with social security?
• What premises does the company require?
What business licensing is required to cover the business objectives?
To set up a company limited in Thailand, there are five critical considerations:
1- Shareholders
There must be a minimum of three promoters – these can be Thai or foreigner, in any mix, but must be natural persons. These promoters are often also the shareholders, but not necessarily so. While promoters must be natural persons, shareholders can be other companies, but there must also be a minimum of three. Generally 51% of the shares must be Thai owned, but there are exceptions (below). Even if 51% of the shares are Thai owned, ATA Services can structure the company for you so that the foreign 49% maintains complete control of the company, its dividends and share transfers. 2- Directors
The company must have at least 1 authorised director who will sign documents on behalf of the company. There can be more than one authorised director, and the signing conditions can require more than one signature ¬– it is up to you. The authorised director(s) can be Thai or foreign, but some business licensing, for example Tourism Authority of Thailand (TAT), requires a Thai director. A foreign director signing on behalf of the company normally will require a work permit and visa.
3- Minimum capital
The company needs to register its capital when it is created, although this can be increased later for a small fee. You do not need to show the money as paid up at the time of company registration, but it will need to be included in your first annual report. You should capitalise the company according to how much it will cost you to get the company cash positive. What this amount is depends on your business plan, However, the minimum capital in order to sponsor a work permit for a foreigner is 2m Baht per person, and this should be 100% paid up. 4- Business objectives
You should advise your law firm of all your company objectives prior to registration. These objectives are in reality a statement of business activity, e.g. exporting of dried banana, and you should have a statement for each activity. Your law firm can then advise you accurately on any restrictions or licensing that may apply. ATA Services will give you this advice for free in an initial consultation.
5- Registered office
The company will need a commercial (not residential) address when registering. ATA Services provides virtual office solutions and flexible physical offices at our two Bangkok business centres if you need a starting point. Once the company employs Thai nationals (a requirement for sponsoring a work permit), a suitable physical office is required to register them for Social Security – the office will be inspected! Some business activities requiring licenses need the registered office to meet additional requirements. Whatever office you require, the land owner must be willing to provide signed copies of ownership documentation if your company needs to register for VAT with the Revenue Dept. You are strongly advised to consult with a commercial law firm, who is experienced at setting up all kinds of business, prior to registering the company to explain your needs. While things can be ‘fixed later’, it is important that you have a full understanding of the issues, requirements, costs and options from the outset. Company registration process
1- A short meeting –We would like to have a short meeting with the client to make sure all the variables have been explained and that there is a clear understanding on registration process, business objective, legal risk.
2- Name reservation – All companies will have Company Limited / Co., Ltd. added to the English name – this is mandatory. We do not know if the name will be accepted by the DBD until we submit the application – it is a manual decision by a DBD officer, and the an English name is sometimes rejected because of the way it appears in Thai transliteration. Thus, we ask for options in case the first choice is not available or rejected. The name can be given in English or Thai.
3- Get your company information – We provide you a questionnaire with explanations and a list of the documents you will need to provide us. Remember that in Thailand photographs of documents are never accepted – you must copy/scan on plain backgrounds at actual size. Also, signatures are required in ink (no scans of signatures), so that any shareholder outside of Thailand will need to courier/mail the documents back to us.
4- Submit the application – the submission and approval is completed in one full working day after receiving all the signed documents from the client. You can start your business using the company as soon as this registration is complete, provided you do not require specific licenses.
5- We prepare the bank document bundle for you to open a corporate bank account within Thailand. This is usually ready one working day after the company is registered. Note that if the director is a foreigner, some banks/branches require a work permit. We can suggest branches where this is not required.
