📍FORMS OF CAPITAL CONTRIBUTION TO ENTERPRISES TODAY

📎Enterprises require not only monetary capital but also other resources such as physical assets and technical processes. Thus, when establishing a business, individuals and organizations can contribute capital in various forms. Article 34 of the 2020 Law on Enterprises stipulates: "Contributed assets include Vietnamese D**g, freely convertible foreign currencies, gold, land use rights, intellectual property rights, technologies, technical know-how, and other assets that can be valued in Vietnamese D**g." Accordingly, investors can contribute capital to companies in the following ways:

🔻Contributing capital in gold or cash: Individuals can contribute to the enterprise by paying in cash or through bank transfers.
🔻Contributing capital through land use rights or intellectual property rights: These are assets registered with ownership or usage rights, requiring legal procedures to transfer ownership or usage rights to the company.
🔻Contributing capital in technology or technical know-how: This involves transferring other property rights to the enterprise, which may include the rights to use or dispose of those assets.
🔻Other assets that can be valued in Vietnamese D**g: Any lawful asset that can be converted into Vietnamese D**g.

📍 ARE FOREIGN LAWYERS WORKING IN VIETNAM REQUIRED TO OBTAIN A WORK PERMIT?

📰 One of the frequently asked questions by foreign lawyers is whether they need to obtain a work permit to practice law in Vietnam. Understanding this requirement is essential to ensure legal compliance when working in the country.

🧑‍⚖ According to regulations, most professions in Vietnam require a work permit for foreign workers. However, for foreign lawyers, instead of applying for a work permit, they only need to obtain a License to Practice Law in Vietnam (as stipulated in Article 154 of the Labor Code 2019). Article 154 explicitly states: "A foreign lawyer who has been granted a license to practice law in Vietnam in accordance with the Law on Lawyers is exempted from a work permit."

🌐 To be granted a License to Practice Law in Vietnam, foreign lawyers must meet the following conditions:
🔻 Hold a valid legal practice certificate issued by a competent authority in their home country.
🔻 Have experience in providing legal advice on international or foreign law.
🔻 Commit to complying with Vietnamese laws and professional ethics for lawyers in Vietnam.
🔻 Be assigned to work by a foreign law firm, branch, or law company operating in Vietnam.

🔈 Therefore, foreign lawyers must thoroughly understand these specific regulations to ensure legal compliance while practicing in Vietnam. If you need further assistance with the procedures or documentation, don’t hesitate to contact G.I.A CORP for expert advice!

📍 SHOULD YOU ESTABLISH A REPRESENTATIVE OFFICE OR A COMPANY BRANCH?

🔉 This is undoubtedly a question many businesses consider when planning to expand their operations. Each form has its own characteristics and benefits, so understanding the differences between establishing a branch and a representative office is crucial. This article will help you objectively compare the two options to make the right decision. Let’s explore the details with G.I.A CORP!

🌐 In practice, there is often confusion between the concepts of a representative office and a company branch. To differentiate these two forms, you can rely on two fundamental characteristics:
A company branch can conduct business activities, generate profits, and maintain independent accounting from the parent company.
A representative office is limited to representing the company and is not allowed to engage in profit-generating activities.
Additionally, investors can consider the following criteria when making their choice:
If the business only needs a location to facilitate transactions with partners and clients without intending to conduct business activities, a representative office would be the suitable choice.
If the business requires a location to both engage with partners and conduct profit-generating activities, establishing a company branch would be more appropriate.

📍ADVANTAGES AND DISADVANTAGES OF REPRESENTATIVE OFFICES

💡With the development of the economy, expanding scale and growing a brand have become increasingly important. One popular choice is establishing a Representative Office, but before making a decision, business owners need to understand the pros and cons of this model.

🔹Advantages of a representative office
Simple licensing procedures;
Has a seal and a separate bank account;
No limit on the number of staff;
Not required to comply with tax, accounting, and monthly or annual labor reporting procedures;
Used in countries where branch offices or fully serviced subsidiaries cannot be established.

🔹Disadvantages of a representative office
Cannot provide traditional banking services;
Can identify business opportunities in foreign markets but cannot accept deposits or lend money on its own books;
Only serves as a marketing and communication function for the parent bank, and has no legal presence in the host country, thus not subject to legal responsibilities or taxes;
Low budget, easily closed, and high risk.

👉 With these characteristics in mind, whether to choose a representative office or another model depends on your business’s goals and development strategy. Carefully consider to make the most reasonable decision!

📍DISTINCTION BETWEEN COMPANY BRANCHES AND REPRESENTATIVE OFFICES

In the process of expanding business operations, enterprises often face the dilemma of whether to open a branch or a representative office. Each type has distinct characteristics and purposes, catering to specific needs. Let G.I.A CORP help you understand these differences to make the right decision!

📚 Based on the regulations of enterprise law, G.I.A CORP outlines key criteria to differentiate between branches and representative offices, such as business functions, business lines, location, seals, taxes, and establishment purposes.

👉🏻 To clarify, G.I.A CORP will focus on three main aspects: business lines, establishment purposes, and taxation.

🔑 Company Branches
A branch is a dependent unit of the enterprise, tasked with performing all or part of the functions of the enterprise, including representing the enterprise under authorization.

Key features:

Business lines: Can register all the business lines that the head office has already registered.
Establishment purpose: For enterprises wishing to open a multi-sector business facility that can sign contracts, issue invoices to customers, and operate in locations different from the head office.
Taxation: Includes license tax, value-added tax, corporate income tax, and personal income tax.
🔑 Representative Offices
A representative office is a dependent unit of the enterprise, authorized to represent and protect the interests of the enterprise.

Key features:

Business lines: Limited to acting under authorization.
Establishment purpose: For enterprises aiming to research market opportunities, monitor brand infringement, or operate in locations other than the head office without engaging in business activities.
Taxation: Personal income tax only.
