The article looks at factors U.S. courts consider to determine the propriety of an ASI, and discusses specific cases involving ASIs and SEPs, including the February 2024 Ericsson v. Quinn Emanuel is proud to announce a precedent-setting victory in one of the most significant cartel damages cases in German history. On 15 August 2024, the Court of Appeals Stuttgart (“Court”) delivered a landmark ruling, holding the state of Baden-Württemberg liable on the merits (Grundurteil - a judgment establishing liability without quantifying the damages) for the joint sales of round timber stemming from competing forests (Rundholzkartell).

This case, with an amount in dispute of approximately €500 million, marks the first time in German legal history that a court has established civil liability for an antitrust infringement of this magnitude, without being bound by a prior decision from an antitrust authority. The Court remands the quantum proceedings to determine the precise amount of damages to the Stuttgart District Court.

The case was brought by the Ausgleichsgesellschaft für die Sägeindustrie GmbH ("ASG"), a legal services provider representing 36 sawmills through assigned claims. The Court's ruling is significant on multiple fronts:

➡ It upheld the legitimacy of bundling claims by way of assignments to a funded vehicle.
➡ It confirmed that the state’s joint distribution violated EU antitrust laws and caused damages.
➡ It established the state's culpability.
➡ Notably, the Court rejected the statute of limitations defense, accepting claims dating back to 1978.

This pivotal decision not only establishes liability but also overturns previous case law from several lower courts regarding the bundling of claims. Most importantly, it reaffirms the fundamental principle that nobody stands above the law, clarifying that antitrust rules apply equally to state bodies when they engage in business ventures. This landmark ruling sets a significant precedent in German and EU competition law, potentially reshaping the landscape for future stand-alone antitrust cases involving state entities and claim bundling practices. The ruling is open to appeal (Revision) before the German Federal Court of Justice, which is strictly limited to reviewing questions of law.

On January 1, 2021, Germany implemented the German Act on the Stabilisation and Restructuring Framework for Businesses (StaRUG), a new out-of-court restructuring regime. This system aimed to provide a viable alternative to traditional insolvency proceedings for companies looking to restructure their debts. Despite initial praise, during the restructurings of real estate groups Adler and Signa, financial creditors continued to prefer the established UK Scheme of Arrangement or the new English Restructuring Plan . However, companies such as Eterna Mode GmbH, Softline AG, Leoni AG, and Varta AG opted for StaRUG as a genuine alternative.

A Quinn Emanuel team, led by London Partner Paul Baker, successfully represented FW Aviation (Holdings) in a dispute against VietJet Aviation Joint Stock Company in the English High Court. The case revolved around four Airbus A320 aircraft initially leased to VietJet under a Japanese Operating Lease with Call Option (JOLCO) structure.

When VietJet fell into arrears on rental payments in October 2021, termination notices were issued, and the FitzWalter group sought to take over the original lessors' and financing parties' roles. VietJet refused to recognise the termination notices and continued operating the aircraft in 2022.

The High Court ruled in favour of FW Aviation, the valid termination of the aircraft leasing and the valid assignment of relevant rights to the FitzWalter group. The judge also dismissed VietJet's counterclaim for relief from forfeiture.

In this decision, the Second Circuit ruled that a tribunal in an arbitration administered by the International Centre for Settlement of Investment Disputes (ICSID) does not qualify as a "foreign or international tribunal" under Section 1782. This ruling presents a challenge for litigants in foreign arbitration proceedings before tribunals lacking governmental authority who seek to leverage Section 1782 and its broad discovery mechanisms under U.S. federal law. However, there are potential avenues to still utilize Section 1782 evidence in such foreign arbitrations.

Quinn Emanuel has achieved a significant victory on behalf of our client Berkley Research Group (BRG) after a nearly decade-long legal battle with competitor FTI Consulting. The dispute centred on three principals and several colleagues and clients leaving FTI to join BRG, which led to allegations of breach of contract, tortious interference, and violation of Massachusetts' unfair competition statute.

Initially, the trial resulted in an unfavorable jury verdict and judicial award. However, yesterday, the Massachusetts Appeals Court, in a unanimous decision authored by Justice Henry, overturned the judgment and dismissed the unfair trade practice damages, marking a substantial win for BRG.

The legal arguments involved complex issues related to restrictive covenants and Massachusetts Chapter 93A. This victory serves as a testament to our team's dedication and resilience in navigating a challenging legal battle to ultimately deliver a favorable result for our client.
